New York law firm Debevoise & Plimpton LLP said Thursday, Feb. 18, it advised Japanese trading giant Mitsui & Co. Ltd.on its purchase of a 32.5% stake in properties in the Pennsylvania portion of the Marcellus Shale from Woodlands, Texas, oil and gas explorer Anadarko Petroleum Corp. for $1.4 billion. The Debevoise team was led by Ezra Borut and Christopher Smeall and included Gary Friedman, Stuart Hammer, Huey-Fun Lee, Lauren Boccardi, Laura McKinney and Amy Park. Thompson & Knight LLP led by Toshi Yoshida and Scott Schwind also advised Mitsui. Akin Gump Strauss Hauer & Feld LLP partner Jim Rice and associate Eric Muñoz represented Anadarko. Under the deal, announced Tuesday, Mitsui will get 100,000 net acres in exchange for funding all of Anadarko's development costs this year and 90% after that until 2013. Mitsui also has the option to buy 32.5% of Anadarko's existing wells and additional acreage acquisitions by reimbursing Anadarko an estimated $100 million. Mitsui said it hopes to expand its shale business in other parts of the U.S. The companies hope to close the deal by March 15. Anadarko has also partnered with Mitsui off the coast of Mozambique.
